- Purpose
This Trade Compliance Statement ("Statement") is executed by the named purchaser ("Customer") in connection with the purchase, use, and distribution of products, goods, or services ("Products") supplied by Crusher Consumables Ltd ("Company"). The purpose of this Statement is to ensure compliance with all applicable trade, export control, and economic sanctions laws and regulations in the United Kingdom.
- Compliance with Laws
Customer agrees to comply with all applicable laws, regulations, and rules, including but not limited to:
- The Sanctions and Anti-Money Laundering Act 2018
- Anti-Terrorism, Crime and Security Act 2001
- The Russia (Sanctions) (EU Exit) Regulations 2019 and all subsequent and ongoing amendments.
- Any regulations issued by the UK Export Control Joint Unit (ECJU) and HM Treasury's Office of Financial Sanctions Implementation (OFSI)
- Prohibited Destinations
Customer acknowledges and agrees that Products purchased from Company may not be exported, re-exported, or transferred, either directly or indirectly, to any country, individual, or entity that is:
- Subject to comprehensive sanctions by the United Kingdom, the European Union, or the United Nations
- Located in, or is a resident of, countries or regions including, but not limited to: Afghanistan, Belarus, Cuba, Iran, North Korea, Russia, Syria and Non-Ukrainian Government Controlled Areas of Ukraine, and any other country or region subject to comprehensive UK, EU, or UN sanctions
- Listed on any UK, EU, or UN prohibited or restricted parties list, including but not limited to HM Treasury's Consolidated List of Financial Sanctions Targets, the EU Consolidated Financial Sanctions List, or the UN Sanctions List
- End-Use and End-User Restrictions
Customer agrees not to sell, transfer, or otherwise provide Products to any person or entity if they know or have reason to believe that the Products will be used in the development, production, or use of:
- Weapons of mass destruction (WMD), including nuclear, chemical, or biological weapons
- Missile technology or unmanned aerial vehicles (UAVs) capable of delivering WMDs
- Military applications prohibited by applicable law
Customer further agrees not to transfer or sell the Products to any individual or entity that is involved in or supports any activities related to terrorism, drug trafficking, or other illegal activities.
- Resale and Distribution
Customer agrees that any resale, distribution, or transfer of the Products must comply with this Statement. Customer shall implement appropriate due diligence and screening processes to ensure that any downstream purchasers, resellers, or end-users are not located in or associated with any prohibited destinations, end-users, or activities as described in this Statement.
- Recordkeeping and Reporting
Customer agrees to maintain records of all sales, transfers, or other distributions of the Products for a minimum of 7 years. Customer further agrees to provide such records to Company upon request and to report any suspected violations of this Statement or applicable law to Company immediately.
- Indemnification
Customer agrees to indemnify, defend, and hold harmless Crusher Consumables Ltd, its affiliates, officers, directors, employees, and agents from and against any claims, losses, liabilities, damages, penalties, or expenses (including reasonable attorney's fees) arising out of or related to Customer's breach of this Statement or any applicable trade laws and regulations.
- Governing Law and Jurisdiction
This Statement shall be governed by and construed in accordance with the laws of England and Wales. Any disputes arising from this Statement shall be subject to the exclusive jurisdiction of the courts of England and Wales.
- Acknowledgment and Agreement
Customer acknowledges that they have read, understood, and agree to comply with the terms of this Trade Compliance Statement. Customer further acknowledges that failure to comply with these terms may result in legal action, including but not limited to termination of business relationships, and may expose Customer to civil and criminal penalties.
